1. Acceptance of Terms

1.1 These Terms of Service ("Terms") govern your access to and use of the Ewasila platform, including our website, mobile applications, and related services (collectively, the "Services"). By registering an account, accessing, or using the Services, you agree to be bound by these Terms and our Privacy Policy.

1.2 You must be at least 18 years old to use the Services. By registering for an account, you represent that you are at least 18 years of age and have the legal capacity to enter into a binding contract in Lebanon.

1.3 If you are using the Services on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms.

1.4 We reserve the right to modify these Terms at any time. We will notify you of material changes via email or in-app notification. Your continued use of the Services after such notification constitutes acceptance of the modified Terms.

2. Definitions

"Platform"
refers to the Ewasila multivendor marketplace accessible via ewasila.com and associated mobile applications.
"Services"
means all features, functionality, and services provided through the Platform, including but not limited to store creation, product listing, transaction processing, and communication tools.
"User"
means any individual or entity that accesses or uses the Platform, including both Vendors and Buyers.
"Vendor"
means a User who creates a store on the Platform to sell products or offer services.
"Buyer"
means a User who purchases products or services from Vendors through the Platform.
"Content"
includes any text, images, videos, logos, banners, product descriptions, reviews, messages, or other materials uploaded to or transmitted through the Platform.
"Transaction"
means any purchase, sale, or exchange of products or services between Users facilitated through the Platform.
"Store"
means a dedicated space on the Platform created by a Vendor to showcase and sell products or services.
Capitalized terms not defined herein
shall have the meanings given in our Privacy Policy.

3. Account Registration

3.1 To use certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 You may only maintain one account per individual or legal entity. Creating multiple accounts to circumvent platform restrictions or fees is prohibited.

3.3 You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

Identity Verification

3.4 We may require identity verification (KYC) and anti-money laundering (AML) checks as mandated by Lebanese Law 81/2018 and other applicable regulations. You agree to cooperate with such verification processes, which may include providing government-issued identification, proof of address, or other documentation.

3.5 We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these Terms, provided false information, or engaged in fraudulent or illegal activities.

4. Store Creation & Management

4.1 Registered Users may apply to become Vendors and create a Store on the Platform. Approval is subject to our verification and compliance checks.

4.2 When creating a Store, you may upload a logo and banner that accurately represent your business. All visual content must be original or you must have appropriate rights to use it.

4.3 You must designate your business type as one of the following:

Business Type Description
Online Shop Business operates exclusively online with no physical storefront.
Physical Shop Business has a physical location where customers can visit.
Service Provider Business offers services rather than physical products.

4.4 You must provide your business location (city, region) if applicable. For physical shops, you must provide the accurate address. For online shops and service providers, you may provide a general location or region of operation.

4.5 You are responsible for maintaining accurate and up-to-date store information, including contact details, business description, and operating hours (if applicable).

4.6 All store content, including product listings, descriptions, and images, must comply with these Terms and applicable laws. You may not use your Store to promote prohibited items or activities as defined in Section 6.

5. Buyer Rights & Responsibilities

5.1 As a Buyer on the Ewasila Platform, you have certain rights and responsibilities when browsing and connecting with Vendors. This section outlines what you can expect when using the Platform and what is expected of you.

Platform Function

5.2 Ewasila is a marketplace listing and discovery platform that connects Buyers with Vendors. All transactions, including payment processing, order fulfillment, and customer service, occur directly between you and the Vendor outside of the Ewasila Platform.

Order Placement & Confirmation

5.3 When you contact a Vendor or place an inquiry through the Platform, you are initiating direct communication with that Vendor. Any resulting purchase agreement is made solely between you and the Vendor. Ewasila is not a party to this agreement and does not process, facilitate, or guarantee any transactions.

Accurate Information

5.4 You should provide accurate and complete information when contacting Vendors, including delivery address, contact information, and any specific requirements. You are responsible for ensuring that all information provided is correct.

Product Information Review

5.5 Before making any purchase with a Vendor, you should carefully review the product description, specifications, price, shipping costs, delivery timeframes, payment methods accepted, and the Vendor's return and refund policies. By proceeding with a purchase directly with a Vendor, you acknowledge that you have read and understood this information.

Payment Obligations

5.6 All payments are made directly to Vendors through their specified payment methods. Ewasila does not process payments, hold funds, or act as an intermediary in financial transactions. You are responsible for:

  • Verifying the security and legitimacy of the Vendor's payment methods
  • Ensuring payment is made according to the Vendor's terms
  • Maintaining records of your transactions for your own protection
  • Resolving any payment disputes directly with the Vendor

Delivery & Inspection

5.7 Upon receiving your order from a Vendor, you should inspect the products promptly to ensure they match the description and are free from defects. If there are any issues, you must notify the Vendor directly according to their stated policies.

Platform Limitations

5.8 As a listing platform, Ewasila does NOT:

  • Process payments or hold funds in escrow
  • Guarantee product quality, authenticity, or delivery
  • Process refunds or returns on behalf of Vendors
  • Act as a mediator in payment or delivery disputes
  • Verify the accuracy of product listings or vendor claims
  • Conduct background checks on Vendors beyond basic identity verification
Due Diligence

5.9 You are strongly encouraged to:

  • Research Vendors before making purchases (check reviews, ratings, store history)
  • Verify Vendor contact information and business legitimacy
  • Use secure payment methods that offer buyer protection
  • Keep records of all communications and transactions
  • Report suspicious activity or fraudulent Vendors to abuse@ewasila.com

Returns & Refunds

5.10 Return and refund rights are governed exclusively by each Vendor's individual policies, which must comply with Lebanese Consumer Protection Law No. 659/2005. You should review and agree to the Vendor's return policy before making any purchase. Ewasila does not process refunds or enforce return policies—these matters must be resolved directly with the Vendor.

Prohibited Buyer Conduct

5.11 As a Buyer, you may NOT:

  • Make fraudulent claims about Vendors or their products
  • Leave false or misleading reviews
  • Share account access with unauthorized persons
  • Use the Platform to harass or threaten Vendors
  • Attempt to circumvent platform policies or misuse Platform features
  • Engage in any illegal activities through the Platform

Reviews & Feedback

5.12 You are encouraged to leave honest reviews and ratings for Vendors and their products based on your genuine experience. Reviews must not contain false information, offensive language, or personal attacks. Reviews that violate these standards may be removed. Reviews help other Buyers make informed decisions.

Communication with Vendors

5.13 You may communicate with Vendors through the Platform's messaging system or through contact information provided in their Store. All communications should be professional and respectful. Be aware that once you engage in transactions outside the Platform, Ewasila cannot monitor or assist with those interactions.

Consumer Rights

5.14 You retain all rights granted under Lebanese Consumer Protection Law No. 659/2005 and other applicable consumer protection regulations. These rights apply to your transactions with Vendors. Nothing in these Terms limits your statutory consumer rights under Lebanese law.

Dispute Resolution with Vendors

5.15 If you have a dispute with a Vendor regarding product quality, delivery, payment, or other transaction-related issues, you should first attempt to resolve it directly with the Vendor. If resolution is unsuccessful, you may:

  • Report the issue to Ewasila at support@ewasila.com for potential Vendor policy violations
  • Seek resolution through applicable consumer protection authorities
  • Pursue legal remedies available under Lebanese law

Ewasila may investigate reported Vendor misconduct and take appropriate action, including warnings, suspension, or account termination, but cannot compel refunds or resolve contractual disputes between Users.


6. Prohibited Items & Activities

6.1 To maintain a safe, legal, and trustworthy marketplace for all Users, Ewasila strictly prohibits the listing, sale, promotion, or facilitation of certain items and activities. These restrictions are designed to comply with Lebanese laws, international regulations, and our commitment to community standards. By using the Platform, you agree not to engage in any of the following prohibited conduct.

Prohibited Items:

  • Illegal Substances: Drugs, narcotics, controlled substances, or drug paraphernalia.
  • Weapons & Dangerous Materials: Firearms, ammunition, explosives, hazardous chemicals, or any items designed to cause harm.
  • Counterfeit & Stolen Goods: Fake products, unauthorized replicas, stolen property, or items infringing intellectual property rights.
  • Adult Content: Pornography, sexually explicit materials, escort services, or adult-oriented products.
  • Regulated Products: Pharmaceuticals, medical devices, or prescription medications without required licenses and approvals.
  • Restricted Substances: Alcohol and tobacco products without appropriate permits and age verification systems.
  • Animals & Wildlife: Live animals, endangered species, or products derived from protected wildlife.
  • Harmful Content: Hate speech, discriminatory materials, or content promoting violence, terrorism, or illegal activities.

Prohibited Activities:

  • Fraud & Misrepresentation: False advertising, deceptive listings, or misrepresentation of products or services.
  • Market Manipulation: Price fixing, collusion, or anti-competitive practices that distort the marketplace.
  • Harassment & Abuse: Bullying, threats, hate speech, or harassment of other Users.
  • Spam & Security Threats: Spamming, phishing, distributing malware, or compromising platform security.
  • Fee Evasion: Circumventing platform fees or terms through off-platform transactions or other schemes.
  • Financial Crimes: Money laundering, terrorist financing, fraud, or other illegal financial activities.
Important Notice

6.4 We reserve the right to remove any content that violates these prohibitions and to suspend or terminate the accounts of Users who engage in prohibited activities. Violations may also be reported to Lebanese authorities as required by law.


7. Geographic Restrictions

7.1 The Ewasila Platform operates exclusively within the Lebanese Republic. International Users may register accounts and browse the Platform; however, all transactions, order fulfillment, shipping, delivery services, and in-person services are restricted to locations within Lebanon.

Service Area Limitations

7.2 Individual Vendors may have additional geographic limitations within Lebanon based on their operational capabilities. Vendors must clearly specify their service areas and delivery zones in their Store policies. Examples of such limitations include:

  • "Beirut and Mount Lebanon only"
  • "Tripoli and North Lebanon governorate"
  • "Nationwide delivery except remote mountain areas"
  • "In-person services available in Sidon area only"

Buyers must verify that a Vendor services their specific location before initiating contact or making a purchase.

7.3 Orders or service requests placed for delivery or fulfillment at addresses outside Lebanon will not be processed. Ewasila reserves the right to remove listings that attempt to facilitate international transactions, and such violations may result in account suspension.

Legal Compliance

7.4 All Users must comply with Lebanese Customs Law, import/export regulations, and any applicable restrictions on the movement of goods or provision of services within Lebanon. Vendors are responsible for ensuring they have the necessary permits and authorizations to operate in their declared service areas.

7.5 Buyers located outside Lebanon may browse the Platform but acknowledge that they cannot complete purchases or receive services unless they have a valid Lebanese delivery address and comply with all applicable laws.

8. Transactions & Payments

Platform Role

8.1 Ewasila operates as a listing and discovery platform that connects Vendors with Buyers. Ewasila does NOT process transactions, handle payments, hold funds, or act as a party to any sale or service agreement between Users. All transactions occur directly between Vendors and Buyers outside of the Ewasila Platform.

Vendor Responsibilities

8.2 Vendors are solely and exclusively responsible for:

  • Setting prices, payment terms, and accepted payment methods
  • Processing all payments through their own systems or chosen payment processors
  • Handling all aspects of order fulfillment, shipping, and delivery
  • Providing customer service, including handling inquiries, complaints, and disputes
  • Issuing refunds, processing returns, and managing cancellations according to their stated policies
  • Collecting, reporting, and remitting all applicable taxes, including Value Added Tax (VAT) as required by the Lebanese Tax Authority
  • Complying with all Lebanese commercial laws, consumer protection regulations, and payment processing requirements
  • Maintaining adequate insurance and business licenses as required by law
Buyer Payment Obligations

8.3 When you make a purchase from a Vendor:

  • You are entering into a direct contractual relationship with that Vendor
  • Payment is made directly to the Vendor through their specified payment methods
  • You agree to pay the full amount as agreed with the Vendor, including any applicable taxes, shipping fees, or other charges
  • You are responsible for verifying the security and legitimacy of the Vendor's payment methods
  • Ewasila has no visibility into, control over, or responsibility for these payment transactions

Payment Methods

8.4 Vendors may accept various payment methods, which may include but are not limited to:

  • Cash on delivery (COD)
  • Bank transfers
  • Third-party payment processors (e.g., Stripe, PayPal, Whish, local payment gateways)
  • Cryptocurrency (where legally permitted)
  • Credit/debit cards processed through the Vendor's own merchant accounts

Vendors must clearly disclose their accepted payment methods in their Store policies. Ewasila does not endorse, guarantee, or take responsibility for any payment method used between Users.

Platform Fees

8.5 Ewasila does not currently charge transaction fees, commission fees, or payment processing fees to Vendors or Buyers. Ewasila reserves the right to introduce such fees in the future. If fees are implemented, Users will be notified at least thirty (30) days in advance in accordance with Section 16 (Modifications to Terms), and the fee structure will be clearly disclosed.

No Escrow or Payment Holding

8.6 Ewasila does NOT:

  • Hold payments in escrow
  • Act as a payment intermediary
  • Process refunds or chargebacks
  • Guarantee payment delivery to Vendors
  • Guarantee product delivery to Buyers
  • Provide payment insurance or protection programs
Tax Compliance

8.7 Vendors are solely responsible for:

  • Determining applicable tax obligations on their sales
  • Collecting appropriate taxes from Buyers
  • Filing tax returns and remitting taxes to the Lebanese Tax Authority
  • Maintaining accurate tax records
  • Providing tax documentation to Buyers as required by law

Ewasila may provide basic transaction data to assist Vendors with record-keeping but is not liable for Vendor tax compliance or any tax-related penalties.

Refunds and Cancellations

8.8 All refund, return, and cancellation policies are set exclusively by individual Vendors and must be clearly stated in their Store policies. These policies must comply with Lebanese Consumer Protection Law No. 659/2005. Disputes regarding refunds or returns must be resolved directly between the Buyer and Vendor. Ewasila cannot compel Vendors to issue refunds or process returns.

Transaction Disputes

8.9 In the event of a payment dispute, non-delivery, fraud, or other transaction-related issues:

  • Buyers should first contact the Vendor directly to seek resolution
  • If the Vendor is unresponsive or resolution fails, Buyers may report the issue to support@ewasila.com
  • Ewasila may investigate and take action against Vendors who violate platform policies, including account suspension or termination
  • Ewasila cannot force refunds, retrieve payments, or resolve contractual disputes between Users
  • Users may pursue remedies through consumer protection authorities, mediation, or legal action as provided in Section 14
Buyer Protection Recommendations

8.10 To protect yourself when transacting with Vendors:

  • Use payment methods that offer buyer protection (e.g., credit cards, PayPal)
  • Research Vendor reputation through reviews and ratings before purchasing
  • Keep detailed records of all communications, agreements, and payment confirmations
  • Verify delivery terms and timeframes before payment
  • Report suspicious or fraudulent activity immediately to abuse@ewasila.com

Future Payment Processing

8.11 Ewasila may implement integrated payment processing, escrow services, or other transaction features in the future. If such features are introduced, Users will be required to accept updated Terms of Service that govern those services. Until such features are implemented and announced, all transactions remain direct arrangements between Vendors and Buyers.

9. Intellectual Property

9.1 You retain all intellectual property rights in the Content you upload to the Platform. By posting Content, you grant Ewasila a perpetual, worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, distribute, modify, adapt, publicly perform, and publicly display such Content for operating, promoting, and improving the Platform.

Intellectual Property Protection

9.2 You agree not to upload, post, or transmit any Content that infringes or violates any third party's intellectual property rights, including copyrights, trademarks, patents, trade secrets, or moral rights. Notices of claimed infringement must be submitted to legal@ewasila.com with details required under Lebanese Intellectual Property Law No. 75/1999.

9.3 Ewasila respects the intellectual property rights of third parties and will respond to valid notices of alleged infringement by removing or disabling access to allegedly infringing material.

9.4 The trademarks, service marks, logos, trade names, and other proprietary designations of Ewasila are the exclusive property of Ewasila. Nothing in these Terms grants you any right or license to use these marks without prior written consent from Ewasila.

10. User Content & Responsibilities

10.1 You are solely responsible for all Content you post, upload, publish, or make available through the Platform. You represent and warrant that you have all necessary rights, licenses, consents, and permissions to publish such Content and that such Content does not violate any applicable law or infringe any third-party rights.

10.2 Content must not be false, misleading, defamatory, libelous, obscene, harassing, hateful, or otherwise unlawful. Vendors must ensure that product descriptions, images, specifications, and pricing are accurate, current, and not deceptive under Lebanese Consumer Protection Law.

Review Guidelines

10.3 Reviews, ratings, and feedback must reflect genuine experiences with the relevant Vendor or product. Fraudulent reviews, rating manipulation, or incentivized reviews without clear disclosure are strictly prohibited and may result in account termination.

10.4 Ewasila reserves the right to monitor, moderate, or remove any Content at its sole discretion but is not obligated to do so. Ewasila may remove any Content that violates these Terms or is otherwise objectionable without liability.

11. Platform Liability Limitations

Intermediary Platform

11.1 Ewasila operates exclusively as an online marketplace listing and discovery platform. Ewasila:

  • Does NOT manufacture, sell, resell, supply, or take title to any products or services listed on the Platform
  • Does NOT process payments, hold funds, or act as a payment intermediary
  • Does NOT fulfill orders, arrange shipping, or handle deliveries
  • Is NOT a party to any transaction, sale agreement, or service contract between Vendors and Buyers
  • Does NOT verify the accuracy, quality, safety, or legality of products, services, or listings
  • Does NOT conduct comprehensive background checks or vetting of Vendors beyond basic identity verification
No Warranties

11.2 THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT
  • Warranties regarding the accuracy, reliability, or completeness of any listings, product information, or Vendor representations
  • Warranties that the Services will be uninterrupted, secure, error-free, or free from viruses or other harmful components
  • Warranties regarding the conduct, trustworthiness, or reliability of any Vendor or Buyer
  • Warranties that transactions between Users will be successfully completed or that disputes will be resolved
Limitation of Liability

11.3 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LEBANESE LAW, EWASILA, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR:

(a) ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities
  • Loss of data, goodwill, or reputation
  • Cost of substitute goods or services
  • Business interruption or loss of use

(b) ANY DAMAGES ARISING FROM OR RELATED TO:

  • Transactions between Vendors and Buyers
  • Quality, safety, legality, or accuracy of products or services listed by Vendors
  • Non-delivery, late delivery, or defective products
  • Payment disputes, fraud, chargebacks, or non-payment
  • Vendor misconduct, misrepresentation, or breach of contract
  • Buyer misconduct, payment default, or fraudulent claims
  • Unauthorized access to your account or personal information
  • Interruptions, errors, or security vulnerabilities in the Platform
  • Content posted by Users, including defamatory, offensive, or infringing material
  • Decisions made in reliance on Platform content or Vendor representations

(c) ANY CLAIMS RELATING TO:

  • The accuracy or availability of listings, pricing, or product information
  • Communication or lack of communication between Users
  • Compliance or non-compliance with laws, regulations, or contractual obligations by Users
  • Tax obligations, collection, remittance, or reporting
Maximum Liability

11.4 IN NO EVENT SHALL EWASILA'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF: (a) ONE HUNDRED THOUSAND LEBANESE POUNDS (LBP 100,000), OR (b) ANY FEES PAID BY YOU TO EWASILA IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY UPON WHICH LIABILITY IS BASED, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE.

User Responsibility

11.5 You acknowledge and agree that:

  • You use the Platform at your own risk
  • You are responsible for conducting due diligence on Vendors before transacting
  • You should verify the legitimacy, reputation, and trustworthiness of any Vendor
  • You should use secure payment methods that offer buyer protection
  • Ewasila cannot guarantee the conduct, identity, or intentions of any User
  • You should report suspicious activity or policy violations to abuse@ewasila.com

Indemnification

11.6 You agree to indemnify, defend, and hold harmless Ewasila, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising from or related to:

  • Your access to or use of the Platform
  • Your violation of these Terms
  • Your Content or any content you post, upload, or transmit through the Platform
  • Your transactions or interactions with other Users
  • Your violation of any rights of a third party, including intellectual property rights, privacy rights, or contractual rights
  • Your violation of any applicable law, regulation, or ordinance
  • Your negligence, willful misconduct, or fraud
Exceptions to Limitations

11.7 Nothing in these Terms shall limit or exclude Ewasila's liability for:

  • Death or personal injury resulting from gross negligence or willful misconduct
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be limited or excluded under applicable Lebanese law

Third-Party Services

11.8 The Platform may contain links to third-party websites, services, or resources (including payment processors, shipping providers, or external tools). Ewasila does not control, endorse, or assume responsibility for any third-party services. Your use of third-party services is at your own risk and subject to the terms and conditions of those third parties.

User Disputes

11.9 Ewasila is not responsible for resolving disputes between Users. Any disputes arising from transactions must be resolved directly between the parties involved. Ewasila may, at its sole discretion, provide assistance by investigating reported violations and taking action against Users who breach platform policies, but has no obligation to do so.

No Fiduciary Duty

11.10 Nothing in these Terms creates a fiduciary, agency, partnership, or joint venture relationship between Ewasila and any User. Ewasila has no special relationship with or fiduciary duty to any User.

12. Privacy & Data Protection

12.1 The collection, processing, storage, and transfer of your personal data are governed by our Privacy Policy, which is incorporated by reference. By using the Platform, you consent to the processing of your personal data in accordance with the Privacy Policy.

Data Protection Rights

12.2 Under Lebanese Law No. 81/2018 on Electronic Transactions and Personal Data Protection, and where applicable, the European Union General Data Protection Regulation (GDPR), you have certain rights regarding your personal data, including the right to access, rectify, erase, restrict processing, object to processing, and data portability.

12.3 Personal data will be retained only as long as necessary to fulfill the purposes outlined in the Privacy Policy or as required by applicable law (for example, transaction records may be maintained for up to seven years in compliance with Lebanese tax legislation).

12.4 Transfers of personal data to countries outside Lebanon will be conducted with appropriate safeguards as prescribed by Lebanese Law 81/2018 and, where applicable, the GDPR, including standard contractual clauses approved by the relevant supervisory authority.

13. GDPR Compliance

Applicability

13.1 For Users residing in the European Economic Area (EEA), United Kingdom, or Switzerland, or otherwise subject to the European Union General Data Protection Regulation (GDPR) or UK GDPR, this section outlines Ewasila's compliance with applicable data protection requirements.

Data Controller Status

13.2 Ewasila acts as a data controller under Article 4(7) of the GDPR with respect to personal data collected directly from you in connection with your use of the Platform, including:

  • Account registration information (name, email, phone number)
  • Profile and Store information (business details, logos, descriptions)
  • Platform usage data (browsing history, search queries, interactions)
  • Communications with Ewasila (support tickets, inquiries)
  • Technical data (IP address, device information, cookies)
Independent Controllers for Transactions

13.3 Vendors and Buyers act as independent data controllers for personal data exchanged directly between them in the course of transactions occurring outside the Ewasila Platform. Such data may include:

  • Delivery addresses and contact information shared during transactions
  • Payment information processed through Vendor payment systems
  • Order details, shipping preferences, and communication records
  • Any other personal data shared directly between Vendor and Buyer

Ewasila is NOT a data controller or data processor for transaction-related personal data exchanged directly between Vendors and Buyers. Each party is responsible for their own compliance with GDPR and other data protection laws in handling such data.

Lawful Bases for Processing
13.4 Ewasila processes personal data under the following lawful bases as defined in Article 6 of the GDPR:
  • (a) Performance of a Contract (Article 6(1)(b)): Processing necessary to provide the Platform services, maintain your account, and fulfill our obligations under these Terms.
  • (b) Legitimate Interests (Article 6(1)(f)): Processing necessary for our legitimate business interests, including improving Platform functionality, detecting fraud, conducting analytics, and marketing communications (where consent is not required).
  • (c) Consent (Article 6(1)(a)): Processing based on your explicit consent, such as optional marketing communications or use of non-essential cookies.
  • (d) Legal Obligation (Article 6(1)(c)): Processing necessary to comply with legal requirements, including identity verification and tax reporting.
  • (e) Vital Interests (Article 6(1)(d)): Processing necessary to protect your vital interests or those of another natural person in emergency situations.
Data Subject Rights

13.5 Under Articles 15-22 of the GDPR, you have the following rights regarding your personal data:

(a) Right of Access (Article 15): You may request confirmation of whether we process your personal data and obtain a copy of such data.

(b) Right to Rectification (Article 16): You may request correction of inaccurate or incomplete personal data.

(c) Right to Erasure / "Right to be Forgotten" (Article 17): You may request deletion of your personal data in certain circumstances, including when:

  • Data is no longer necessary for the purposes for which it was collected
  • You withdraw consent and there is no other legal basis for processing
  • You object to processing and there are no overriding legitimate grounds
  • Data has been unlawfully processed
  • Erasure is required to comply with a legal obligation

(d) Right to Restriction of Processing (Article 18): You may request limitation of processing in certain circumstances, such as when you contest the accuracy of data or object to processing.

(e) Right to Data Portability (Article 20): You may request to receive your personal data in a structured, commonly used, and machine-readable format and to transmit that data to another controller where technically feasible.

(f) Right to Object (Article 21): You may object to processing based on legitimate interests or for direct marketing purposes. We will cease processing unless we demonstrate compelling legitimate grounds that override your interests.

(g) Right Not to be Subject to Automated Decision-Making (Article 22): You have the right not to be subject to decisions based solely on automated processing, including profiling, which produces legal or similarly significant effects. Ewasila does not currently engage in such automated decision-making.

Exercising Your Rights

13.6 To exercise any of the rights described in Section 13.5, you may submit a verifiable request to our Data Protection Officer at: dpo@ewasila.com

Requests must include:

  • Your full name and email address associated with your Ewasila account
  • Specific details of the right you wish to exercise
  • Any additional information necessary to verify your identity

We will respond to verified requests without undue delay and in any event within one (1) month of receipt, in accordance with Article 12(3) of the GDPR. This period may be extended by up to two (2) additional months where necessary, considering the complexity and number of requests, and we will inform you of any such extension.

Data Retention

13.7 Personal data will be retained only as long as necessary to fulfill the purposes outlined in our Privacy Policy or as required by applicable law, including:

  • Account data: Retained for the duration of your account plus seven (7) years for tax and legal compliance purposes
  • Transaction metadata: Retained for seven (7) years in compliance with Lebanese tax legislation
  • Marketing communications: Retained until you withdraw consent or request deletion
  • Security and fraud prevention data: Retained for up to three (3) years
Data Transfers

13.8 Personal data may be transferred to and processed in countries outside the European Economic Area, including Lebanon and other jurisdictions. Where such transfers occur, Ewasila implements appropriate safeguards to ensure adequate protection, including:

  • Standard Contractual Clauses (SCCs) approved by the European Commission under Article 46(2)(c) of the GDPR
  • Adequacy decisions by the European Commission under Article 45 of the GDPR (where applicable)
  • Other legally recognized transfer mechanisms compliant with Chapter V of the GDPR
Data Breach Notification

13.9 In the event of a personal data breach likely to result in a high risk to your rights and freedoms, Ewasila will:

  • Notify the relevant supervisory authority without undue delay and, where feasible, within seventy-two (72) hours of becoming aware of the breach, in accordance with Article 33 of the GDPR
  • Notify affected data subjects without undue delay, in accordance with Article 34 of the GDPR, unless:
    • Appropriate technical and organizational protection measures have been applied (e.g., encryption)
    • Subsequent measures ensure the high risk is no longer likely to materialize
    • Notification would involve disproportionate effort, in which case public communication will be made

Supervisory Authority

13.10 You have the right to lodge a complaint with a supervisory authority, in particular in the EU Member State of your habitual residence, place of work, or place of the alleged infringement, if you believe that the processing of your personal data violates the GDPR.

Data Protection Officer

13.11 Ewasila has designated a Data Protection Officer (DPO) responsible for overseeing GDPR compliance and data protection matters. You may contact the DPO at: dpo@ewasila.com

Children's Data

13.12 Ewasila does not knowingly collect or process personal data from individuals under the age of 16 (or the applicable age of digital consent in your jurisdiction) without verifiable parental or guardian consent, in accordance with Article 8 of the GDPR. If we become aware that we have collected such data without proper consent, we will take steps to delete it promptly.

14. Dispute Resolution

14.1 In the event of any dispute, controversy, or claim arising from these Terms, the parties shall first attempt to resolve the matter through good-faith negotiations.

14.2 If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to Ewasila's internal dispute resolution mechanism, which will be conducted in accordance with the Platform's published dispute resolution procedures.

Mediation Requirement

14.3 If internal resolution is unsuccessful, the parties agree to submit to mediation administered by the Beirut Chamber of Commerce and Industry or another recognized mediation service in Beirut, Lebanon, before initiating litigation. The mediation will be conducted in Arabic or English, as mutually agreed.

Governing Law & Jurisdiction

14.4 Any legal action or proceeding arising under these Terms shall be brought exclusively in the competent courts of Beirut, Lebanon, and the parties hereby submit to the personal jurisdiction of such courts. These Terms shall be governed by and construed in accordance with the laws of Lebanon, without regard to its conflict of law principles.

15. Termination

15.1 You may terminate your account at any time by providing written notice to Ewasila or through account deletion tools available on the Platform. Upon termination, your right to access and use the Services will cease immediately.

15.2 Ewasila may suspend or terminate your account, with or without cause, at its sole discretion. Grounds for termination include, but are not limited to: (a) breach of these Terms; (b) engagement in fraudulent, illegal, or harmful activities; (c) prolonged inactivity; or (d) any action that may expose Ewasila to legal liability or harm its reputation.

Surviving Provisions

15.3 Upon termination, all licenses and rights granted to you under these Terms shall terminate; however, provisions that by their nature should survive termination, including but not limited to Sections 9 (Intellectual Property), 11 (Platform Liability Limitations), 12 (Privacy & Data Protection), 14 (Dispute Resolution), and 17 (Governing Law & Jurisdiction), shall survive.

15.4 Termination does not relieve you of any obligations arising prior to termination, including payment of outstanding fees or charges. Ewasila may retain your information as necessary to comply with legal obligations, resolve disputes, and enforce agreements.

16. Modifications to Terms

16.1 Ewasila reserves the right to modify, amend, or update these Terms at any time to reflect changes in legal or regulatory requirements, business practices, or the functionality of the Platform.

Notification of Changes

16.2 Material changes to these Terms will be communicated to you via email to the address associated with your account or through a prominent notice on the Platform at least thirty (30) days prior to the effective date. Non-material changes may be effective immediately upon posting.

Acceptance of Changes

16.3 Your continued use of the Platform following the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must discontinue use of the Platform and terminate your account in accordance with Section 15.

17. Governing Law & Jurisdiction

Applicable Law

17.1 These Terms, and any dispute or claim arising from them, shall be governed by and construed in accordance with the laws of the Lebanese Republic, excluding its conflict of law rules.

Jurisdiction

17.2 The courts of Beirut, Lebanon shall have exclusive jurisdiction to settle any dispute or claim arising from these Terms. The parties agree to submit to the jurisdiction of such courts.

17.3 Notwithstanding the foregoing, Ewasila may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights, confidential information, or to prevent irreparable harm.

All communications shall be deemed received upon confirmed delivery. Ewasila may designate alternative contact points by updating these Terms in accordance with Section 16.

19. Miscellaneous Provisions

19.1 Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed from these Terms, and the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.

19.2 Entire Agreement: These Terms, together with the Privacy Policy and any other legal notices published by Ewasila on the Platform, constitute the entire agreement between you and Ewasila concerning the subject matter herein and supersede all prior or contemporaneous communications, whether oral or written.

19.3 No Waiver: The failure of Ewasila to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Ewasila.

19.4 Assignment: You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without the prior written consent of Ewasila. Ewasila may assign these Terms, in whole or in part, to any affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.

19.5 Electronic Communications: You consent to receive communications from Ewasila electronically, including by email, in-app notifications, or text messages. You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.

19.6 Force Majeure: Ewasila shall not be liable for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

19.7 Relationship of the Parties: Nothing in these Terms shall be construed to create a partnership, joint venture, employment, or agency relationship between you and Ewasila. You are an independent contractor, and no party has authority to bind the other in any respect.
